Îfirst of all it should be mentioned that the Firmatori platform and its suppliers do not sell products to PRIVATE INDIVIDUALS but are intended exclusive to domestic and international trade between LEGAL PERSONS therefore, we do not comply with the regulations in force regarding online trade to individuals. Individuals who wish to purchase products listed on the Firmatori platform, have the obligation to contact the supplier directly to agree to any purchase and it must be made outside of the Firmatori platform, the responsibility for product quality, delivery time, returns and customer support falls ;nd î in charge of the supplier.

TRADE TO LEGAL ENTITIES

The speed with which commerce is carried out today, the multitude of ways of promotion and sale, have helped manufacturers from all over the world, regardless of their size and type, to instantly present their products to billions of potential customers B2C and B2B customers from anywhere in the world. Unfortunately, fast and fast does not always mean good, thus, among millions of serious suppliers, sometimes they end up selling products and some suppliers who do not honor the industry they represent, regardless of how old they are market, and as much as they want to succeed, they just can't find the magic formula to keep their promise and deliver quality products on time for a decent price, forcing their B2B customers to lose enormous amounts of money and most importantly, time!

Firmatori is part of a group of companies and platforms with extensive experience in logistics, production, import, distribution and trade, but unfortunately, sometimes even we fail to identify only the good ropers who really deserve it to work with us and we are forced to accept the fact that we did not do a quality due diligence, a much more severe one that would very likely have helped us trade safely.

The AiCart platform that Firmatori runs on represents the summary of decades of accumulated experience of entrepreneurs with a track record in logistics and trade transposed into a few settings, forms, options and filters that can help a B2B buyer without much experience to supply safely or save precious time.

First of all, from the moment Firmatori was just an idea, it was thought and then built "as for us", to help us find new suppliers and opportunities . Although in some places you will find atypical options or procedures that you do not find in other platforms designed by programmers without commercial experience, we assure you that they are there for a good reason, even if we cannot publicly explain the rationale for each individual button or algorithm, you may understand its usefulness only after you look for products or start working with a certain supplier.

SYMBOLS AND INDICATORS

Firmatori accepts exclusively producers and direct importers who can demonstrate that they have the right to resell in Romania directly with the producer, thus, you will notice in front of the name of the supplier 2 models of icons:

  - Also, in front of the name of the supplier you will notice a flag indicating the country where the supplier comes from (exclusive from Romania) and above the picture of the product you will find a flag representing the country where the product is manufactured (not where it is imported from).

PROCEDURES AND RESPONSIBILITY OF SIGNATORIES

Any due diligence done on a supplier consumes time and other resources, in some cases it is not effective and malicious persons or companies manage to pass many filters without being detected by banks or even specialized state institutions in fraud or theft. To cover the costs of these verification procedures, Firmatori offers suppliers 3 types of subscriptions, each actually representing the level of due diligence done on the supplier and passing the verification cost to the supplier itself as follows:

Bronze Subscribers
BRONZE SUBSCRIPTION

Providers can sign up for FREE for a period of 30 days during which they can test the functionalities and potential of the platform, they can display 9 products or offers that are automatically withdrawn from the platform when this test period ends expired. The fact that providers have chosen this type of subscription does not necessarily mean that they do not want to be verified, they simply want to test the platform before making a financial effort. It should be noted that Bronze suppliers   THEY ARE NOT VERIFIED  and it is the customer's responsibility to make all necessary checks, a good source of information on creditworthiness, insolvency risk and other financial information is www.risco.ro.

Silver Subscription

SILVER SUBSCRIPTION

Providers with a SILVER subscription go through a set of checks aimed primarily at preventing identity theft, which has been so common lately, and our verification procedure is as follows: an envelope is sent by post to the address listed on the government website for that company, inside the envelope there is a PIN code and a phone number with video calling that the company owner is required to call at the time Where it is inside the warehouse or factory and to have both the company's registration certificate and the passport or bulletin, the person's identity must correspond to those held by the ministry.</p >

GOLD SUBSCRIPTION

The GOLD subscription is probably the best filter when choosing your suppliers, especially manufacturers. Unlike importers with a GOLD subscription, producers not only go through identity checks and financial analysis, but their profile also carries the Borderless qualification, a qualification that can vary from 0 to 10 and which represents a grade that our buyers give to that supplier. If they were put in a position to work with that supplier and take over the products in other countries in Europe, what are the chances on a scale of 0 to 10 that they would do it. Although the logic by which these qualifications are awarded is not public, we can mention that we take into account several criteria such as: 

  • prices provided and profit margin
  • the potential of selling the products internationally
  • production times / preparation of goods
  • warranty and support period
  • online reviews about the company
  • production capacity and probability of delay
  • difficulty of transportation and distribution of manufactured products
  • history and seniority of the company, number of employees and others.

Both importers and producers receive 3 qualifications obtained from the RISCO.RO platform for:

  • Probability of insolvency: 0 - 100%
  • Credit limit: amount and currency
  • Financial rating: 0.00 - 10.00

PROVIDER INFORMATION

Firmatori was designed to help importers from Europe and the UK find MADE IN ROMANIA products more easily and purchase products from verified companies, but also for local resellers, helping and by centralizing manufacturers and importers in one place where they can search for products and purchase products in a secure environment. Firmatori is an open market place where buyers have access to the supplier's contact information (producers or direct importers) through a simple free registration on the site, thus allowing anyone to directly contact the companies that list products and collaborate î outside the platform or alternatively, to purchase through our platform at no additional cost.

At Firmatori we work hard to maintain a clean B2B marketplace where only verified suppliers can list their products, however we cannot be held responsible for any issues related to a transaction between a buyer and a seller or product quality when it takes place outside our platform.

TRANSACTION THROUGH SIGNATORIES

It is not an easy task to build a system through which two partners who do not know each other and cannot see each other or check the products, feel completely safe when doing business remotely. but, we have endeavored to build a platform, a set of rules, procedures and a trading system primarily financially secure in which both parties involved for both the customer and the suppliers to feel safe and know that their money is safe while the exchange of ownership of the products is carried out, so we show below the method of purchase - sale from Firmatori , one that we believe brings both parties: the supplier and the buyer to a consensus:

PURCHASE OF PRODUCTS ÎOUTSIDE THE PLATFORM

Î in the case of products that require bidding, discussions and detailed planning directly with the supplier and the products cannot be listed online or the amounts are much too large to be paid in full in advance or with the online card, the customer can contact the direct supplier and if they reach an agreement on the collaboration, Firmatori can generate a customized offer and procedure to secure the transaction so that both parties feel safe playing a escrow role in the transaction (the minimum value of the products must exceed the amount of 10,000 Euros or the equivalent in lei).

The customer has the opportunity to purchase the products directly from the supplier outside the platform and can pay by bank transfer or any other method chosen by the supplier and accepted by the customer, aware of the risks to which he is exposed regardless of the type of subscription of the supplier, offering us no guarantee in terms of the quality of the products, but strictly to confirm the identity on the date of product verification. The signatories DO NOT Î ASSUME RESPONSIBILITY for the outcome of this transaction and cannot be held responsible for any loss of any kind to any of the parties involved in the transaction. 

Also, in the event that one of the providers is the victim of identity theft or the authentication data in Firmatori is stolen, our platform cannot be held responsible in any way. Our system can be used as a means of protection, because the payment received from the customer is released 24-48 hours after the products have been delivered to the customer, only if he does not open a notification to warn of the non-conformity of the products received with the description and product images on our platform, thus eliminating the possibility of being cheated by supplier identity theft.

SUPPLY FLOW FOR FIRMWARE:

  • Where the product can be sold online through the platform, the customer has the opportunity to purchase the products and the only payment method at the moment is online card payment at the time of placing the order
  • Once the transaction is confirmed, the funds are captured and remain in the Signers account to be later released to the supplier
  • The supplier receives the order together with the confirmation that the beneficiary has already paid the counter value of the products and the funds currently remain in the Signatories' accounts
  • The supplier starts production or prepares the goods based on the firm order received from the Signatories
  • When the goods are prepared and ready for loading a car / courier goes and collects the goods to be delivered to the customer
  • Once unloaded, the goods are handed over to the customer who has the option to report any possible fraud
  • Î within 24-48 hours, sometimes even faster, the funds that have been blocked in the Firmatori platform until now are released to the supplier

Îin conclusion, the trading process through the Signatories can be summarized as follows:

  • The customer places the order through our platform paying with the online card the value of the products
  • A firm order is sent to the supplier and receipt of payment is confirmed
  • The supplier prepares the products and a verified transport company designated by the Signatories or its logistics partners goes to îloading to transport the goods from the supplier to the customer
  • The customer has the opportunity to check the parcel or pallets and in case of major irregularities (deception) can request an investigation and stop payments to the supplier
  • Î in the event that the client does not file a notification of fraud, the funds are released to the supplier within the term  of 24h - 48h from unloading the goods

Situations in which it is possible to block payments

  • Î in case the supplier is late with the production or preparation of the goods and it cannot be collected within the said X days î in the product description
  • Products supplied are not exactly the same from the description displayed on our platform, the supplier misleading the customer by publishing photo images, technical descriptions or functionality accidentally or intentionally misleading the buyer
  • The quantity of products supplied does not comply with the quantity ordered and paid for by the customer

Situations in which it is NOT possible to block payments

  • The customer wants to cancel the order even though the goods preparation time and the transit time have not expired (the order can only be canceled with the written consent of the supplier and only î before being picked up from his warehouse)
  • Once the products have been collected from the supplier, the transit time may vary depending on: the quantity ordered, the type of vehicle required to transport the goods, the customer's location, traffic restrictions applied on public roads for certain categories of vehicles, accidents, maintenance works on the road infrastructure, seasonal traffic and even the method of loading / unloading the respective products, factors that can lead to longer transit times than those initially indicated as such, by placing the order the customer accepts the fact that there may be Delays of 24 hours - 72 hours that are beyond our control or that of the transport companies used and a delivery delay cannot be used as a reason for refunding the amounts paid to our platform. < /li>

What happens when a payment is blocked and how to unblock it

  • Both the client and the supplier have 14 calendar days from reporting the incident in writing by e-mail to prepare the necessary documentation to follow the legal procedures in such cases:
    • Mediation through Firmatori Scam Prevention
      A Firmatori representative will analyze the information received from the customer and the supplier and may decide to unblock the payment to the supplier, communicating the reasoning behind the decision to the customer , in case the client is not satisfied with this result,  will be directed to the competent bodies of the Romanian state to resolve the conflict with the supplier. Firmatori Platform cannot be held responsible for any loss suffered by the customer or the supplier as a result of this decision.
    • Mediation outside the platform 
      Firmatori makes available to clients and suppliers a list of mediators specialized in such cases and, after reaching a consensus that the client and the supplier have the obligation to send in writing to scamprevention@firmatori.ro the result of the negotiations and to request in writing the unblocking of the amounts of blocked money.
      Î in case they do not reach a consensus within 30 days of reporting the inconsistencies to the Signatories, the amounts will be unblocked and sent to the supplier, î urging the client to start the recovery procedures directly from him through the existing legal means and making available a series of procedures specific to Romanian legislation through which he can do this.
    • Recovery through other legal means
  • In order for a payment to be unblocked, both the client and the supplier must give their consent in writing to the e-mail address scamprevention@firmatori.ro mentioning the order number in question
  • Î in the case of orders that have already been delivered and incurred logistical costs (fast courier, palletized freight transport, storage, customs, etc.), Signatories will not reimburse the customer or supplier in any way for the cost of transport these amounts going to the carrier who has no implication îin the making of the product and any inconsistencies.

PRODUCTS DAMAGED DURING TRANSPORT

Suppliers have the obligation to pack the products properly so that the products can be delivered safely and, in the case of palletized goods, to state the total weight of the pallet in kilograms on a separate label on each part of the pallet, so that all the people involved in the logistics chain can decide what kind of equipment should be used when loading or unloading the pallet or if the equipment is capable of lifting the respective weight. It is the responsibility of the supplier and the customer to ensure that they have the necessary logistics infrastructure to load and unload the products without putting someone's life or the products at risk. Firmati cannot be held responsible for possible inconsistencies between the weight on the pallet and the actual weight or for the lack of a label indicating the weight on the pallet.

Î in the case of products that are delivered via the Firmatori platform, if there are transport incidents and the products arrive damaged, the client is obliged to report this in writing on the CMR letter which î accompany the shipment before unloading the goods from the car and photograph any resulting damage, no subsequent claim will be considered. Any material damage resulting from the transport can only be recovered through the transport company's insurance and Firmatori cannot be held liable for any damage resulting from the carrier's negligence.

NON-CONFORMING QUANTITY

The transport company or its driver has the obligation to ensure that the supplier has handed over the entire quantity of boxes or pallets mentioned in the goods accompanying notice and to report any damaged goods before loading. Some suppliers do not allow drivers access to warehouses or to assist with loading, and this fact will be noted on the CMR letter. Signatori cannot be held responsible for possible shortages, damages or contents of boxes or pallets. The transport company or the driver are not responsible for the contents of the boxes or pallets, but strictly for their quantity and the condition in which they are delivered to the destination. Any difference in the quantity ordered and delivered inside the boxes or pallets falls exclusively under the responsibility of the supplier and this situation cannot be resolved through our platform, the customer must discuss any shortages directly with the supplier. If the supplier has to send additional products or collect products from the customer, their transport falls under the responsibility of the supplier at its own expense and is not the activity of the Firmatori platform.

RETURNS

Each product that can be sold through our platform is published with the mention of the return and order cancellation conditions, the customer has the obligation to ensure that he agrees with the policy mentioned by the supplier in the product description that he accept by placing the order through the platform. In the case of products that need to be returned to the supplier after they have been ordered and delivered through our platform, the customer is responsible for returning them to the supplier at the address mentioned in the profile in their original condition (original packaging, undamaged products or used, etc.), and the supplier has the obligation to return directly to the client by bank transfer the amounts resulting from the return. Firmatori is not responsible for transporting the products from the customer back to the supplier, the cost of this transport falls exclusively under the responsibility of the customer.

REFUSAL OF GOODS

Due to the logistic flow behind the platform, the customer has the obligation to unload the goods from the car, subsequently resolving any complaints, in the event that the goods cannot be unloaded for a technical reason or the unloading is refused, the goods it will be transported to the nearest logistics warehouse partner, the cost of transportation and storage being fully borne by the customer. If the goods are not picked up within 14 days from storage, we reserve the right to sell or destroy the goods to recover or reduce logistics costs.

Îin conclusion, Firmatori is a B2B platform where we offer a series of tools and work procedures designed to protect customers and help manufacturers or importers work in a safe, optimized and automated environment. In case the collaboration between the client and the supplier is not successful, there is the option of internal mediation, negotiation with a mediator or the legal path of a court case. Unfortunately, in Romania there is currently no work system or procedure by which a platform can provide 100% safety and regardless of the efforts we make, it is possible that some collaborations between the customers and the Firmati suppliers it does not end as we would like for various reasons. Signatori must be seen as a payment processor and not as an intermediary in the transaction, thus, the entire legal responsibility rests with the customers and suppliers on the platform.

Online payment by debit card

The Firmatori platform does not accept credit card payments, we only accept debit cards and there should be no reason not to pay by card directly on our platform, the single transfer limit is up to £1,000,000 , we use Stripe's secure 3D system, one of the best and most secure card processors in the industry.

Paying by card will also provide additional protection to the buyer, Signatories release the funds to the suppliers after the goods are received by the beneficiary, basically we capture the funds from the buyer when they place the order, but we release them to the seller within the term of 24-48 hours from the moment the goods arrived at the customer, enough to complain or open a dispute if necessary.

Any problem from a quantitative or qualitative point of view must be notified îin writing immediately to scamprevention@firmatori.ro to generate a report of incident and the customer has the obligation to mention on the CRM letter î before the van/truck is unloaded.
